Terms and Conditions of myCULTURE

1. Scope

1.1. These Terms & Conditions (“Terms”) apply to the use of the myCULTURE digital platform, including its website, web applications and mobile applications (“myCULTURE”), and to all services offered through myCULTURE.

1.2. The contractual partner, unless otherwise stated in these Terms, is:

1.3. myCULTURE serves different categories of users. These Terms therefore apply to ordinary users as well as users acting as artists, curators, MEET organisers or other professional users, and to galleries, museums, off-spaces and other cultural organisations.

1.4. Provisions that apply only to a particular category of user are identified accordingly.

1.5. Mandatory statutory provisions, in particular mandatory consumer-protection laws, remain unaffected.

2. Definitions

2.1. “User” means any person who uses myCULTURE or creates a user account.

2.2. “User Account” means the personal account through which a user can access certain myCULTURE functions.

2.3. “Professional User” means a person or organisation using myCULTURE in the course of a commercial, self-employed, professional or other economic activity. This includes professional artists and curators, galleries, museums, off-spaces and other cultural organisations.

2.4. “Content” means texts, images, photographs, videos, audio content, logos, event information, profiles, reviews and other information provided by users.

2.5. “MEET” means an event, tour, guided experience, cultural activity or other activity offered through myCULTURE for which users may pay to participate.

2.6. “Promotion” means a paid special placement or increased visibility of content, events, profiles or other offers purchased by a Professional User.

2.7. “Membership” means a paid, fixed-term membership offered to an approved Professional User, in particular an artist.

3. User Accounts

3.1. In principle, any natural person may create a User Account, provided that they have the legally required capacity to enter into the relevant contract. Where required by law, the consent of a legal representative must be obtained.

3.2. A user may simultaneously be an ordinary user and a Professional User. Certain professional functions nevertheless require separate approval or activation by myCULTURE.

3.3. Users must provide accurate, complete and up-to-date information when creating and using their User Account.

3.4. Users must keep their login credentials confidential and protect their account against unauthorised access.

3.5. Users may not create multiple accounts for the purpose of circumventing restrictions, suspensions, promotional conditions or other myCULTURE rules.

3.6. Users may generally delete their User Account at any time using the available account functions. Deletion of a User Account does not cancel or otherwise release the user from contractual obligations, payment obligations or other obligations that have already arisen.

 

3.7. Where a user has created one or more upcoming MEETs for which participants have already booked, the user may still request deletion of their User Account. Before deletion, myCULTURE may inform the user that deletion may result in cancellation of the relevant MEETs and may trigger the cancellation consequences applicable under Section 8. The user may be required to confirm the deletion and its consequences through an appropriate authentication or confirmation procedure.

 

3.8. Deletion of a User Account does not affect myCULTURE's right to retain personal data to the extent permitted or required by applicable data-protection or other law, including where necessary for the settlement of payments, fulfilment of existing obligations, compliance with statutory retention obligations, or the establishment, exercise or defence of legal claims.

4. Use of myCULTURE

4.1. myCULTURE provides, among other things, information and recommendations relating to exhibitions, events, museums, galleries, artists, cultural organisations, topics and MEETs.

4.2. myCULTURE may provide functions allowing users to save, share, review, comment on or discover content and participate in MEETs.

4.3. The availability of individual functions may change from time to time, particularly where functions are being developed, tested or discontinued.

4.4. myCULTURE does not guarantee any particular economic, cultural or other outcome from using the platform.

 

4.5. Where myCULTURE links to external websites, ticket providers, organisers or other third-party offers, the terms of those third parties apply. myCULTURE is not automatically a contractual party to such third-party services.

5. Recommendations and Ranking

5.1. myCULTURE uses recommender systems to display culturally relevant content to users.

5.2. Recommendations may take into account, in particular:

  • interests and preferences provided by the user;

  • previous interactions with myCULTURE, including views, saves, shares and reviews;

  • searches and selected filters;

  • geographical or thematic relevance;

  • freshness and recency of content;

  • time sensitivity, including the upcoming start or end of an event;

  • relevance to particular user groups;

  • editorial or curatorial considerations;

  • availability and quality of information provided; and

  • paid Promotions or special placements.

 

5.3. The relative importance of these factors may vary depending on the feature, content and context. myCULTURE may further develop the weighting and technical implementation of its recommender systems.

5.4. Users can influence recommendations through their stated interests, searches, filters, saved content and other interactions, where such functions are available.

5.5. A paid Promotion may influence the visibility or placement of content within the placement area purchased or provided for that Promotion. A Promotion does not guarantee any particular number of views, interactions, participants, sales or other results.

5.6. myCULTURE does not generally label all paid content as “sponsored” or “promoted”. Where mandatory law requires commercial communications or advertising to be identified, myCULTURE will provide the required identification.

6. User Content

6.1. Users may provide their own Content through the functions made available by myCULTURE.

6.2. Users are solely responsible for the Content they provide.

6.3. Users warrant that they hold all rights, licences and consents required for the use and publication of their Content. This includes, in particular, copyright, neighbouring rights, trademark rights, personality rights, rights in photographs and videos and required permissions from depicted persons.

6.4. Content must not:

  • violate applicable law;

  • infringe third-party rights;

  • be fraudulent or misleading;

  • falsely represent events or identities;

  • promote hatred, discrimination or violence;

  • contain pornographic or otherwise prohibited material;

  • constitute spam or mass unsolicited advertising;

  • contain manipulated or fraudulent reviews;

  • deliberately harass, threaten or intimidate other users; or

  • otherwise violate these Terms.

 

6.5. myCULTURE may review Content and take action, in particular following reports, complaints or automated or technical checks.

6.6. myCULTURE may reject, hide, edit, remove or prevent publication of Content where there is a legal, safety-related, quality-related, technical or other legitimate reason.

6.7. Where required by law, myCULTURE may use both automated measures and human review in content-moderation decisions.

6.8. Measures may be taken in particular in cases of illegal Content, copyright infringement, deception, spam, abuse, repeated violations or serious breaches of these Terms.

7. Reviews

7.1. Users may submit reviews only on the basis of genuine experiences.

7.2. The following are prohibited in particular:

  • fabricated or fictitious reviews;

  • reviews of events or offers that the user did not actually attend or experience;

  • reviews provided in return for payment or another improper benefit;

  • reviews created through multiple artificial accounts;

  • abusive, threatening or discriminatory content;

  • deliberate defamation;

  • advertising, spam or otherwise irrelevant content.

 

7.3. myCULTURE may remove or refuse to publish reviews that violate these rules or applicable law.

8. MEETs

8.1. General

8.1.1. Users may create their own MEETs or participate in MEETs offered by other users through myCULTURE.

8.1.2. A MEET may be offered by a private individual, a Professional User or myCULTURE itself.

8.1.3. Not every MEET organiser acts as a business. The legal status of the relevant organiser will depend on the circumstances and the information provided for the particular MEET.

8.1.4. Unless myCULTURE expressly offers a MEET as organiser, the relevant MEET organiser is generally responsible for conducting the MEET and for the content and proper provision of the MEET.

8.2. Creating a MEET

8.2.1. A MEET must contain complete and accurate information, including its content, location, date, time, price, participant capacity and any special requirements.

8.2.2. myCULTURE may manually review and approve a MEET before publication.

8.2.3. myCULTURE may reject publication or remove an already published MEET where this is legally, technically, organisationally, safety-wise or otherwise reasonably justified.

8.2.4. A MEET will generally only be publicly displayed after approval by myCULTURE.

8.2.5. MEETs may generally be published and opened for bookings no earlier than 30 days before their start date.

8.3. Price and Fee

8.3.1. For each confirmed participation in a paid MEET, myCULTURE receives a platform and facilitation fee of 15% of the amount paid by the participant, subject to a minimum of EUR 2.00 per booking, unless otherwise stated for the relevant MEET.

8.3.2. The minimum price for a paid MEET participation is therefore generally EUR 2.00.

8.3.3. The remaining amount is generally payable to the MEET organiser.

8.3.4. myCULTURE may make payment of the organiser's share conditional upon successful completion of the MEET and may set off amounts owed by the organiser against amounts otherwise payable to the organiser, to the extent permitted by law.

8.4. Participant Booking and Payment

8.4.1. A MEET booking becomes binding once confirmed through myCULTURE.

8.4.2. Where myCULTURE itself is the participant's contractual provider of the relevant participation service, mandatory statutory consumer rights apply.

8.4.3. For services relating to leisure activities for which a specific date or period is agreed, statutory withdrawal rights may be excluded by law. Where required, this will be communicated during the booking process.

8.4.4. Where myCULTURE merely facilitates the booking and payment for a MEET provided by an independent organiser, the provision of the actual MEET is generally governed by the relationship between the participant and organiser, subject to mandatory law.

8.5. Cancellation by the Organiser

8.5.1. An organiser may cancel a confirmed MEET subject to the cancellation conditions applicable to the relevant MEET and these Terms.

8.5.2. The specific cancellation conditions, including any cancellation fee, may be displayed to the organiser when creating the MEET and expressly accepted by the organiser before publication.

8.5.3. In the event of a late cancellation or no-show, myCULTURE may, to the extent legally permitted and agreed in advance, charge a reasonable cancellation fee.

8.5.4. The amount of any such fee must be displayed to the organiser before publication of the relevant MEET. Such fees may be graduated according to the timing of the cancellation.

8.5.5. Where the organiser is a consumer, a cancellation fee will only be charged to the extent permitted by mandatory consumer law and where the fee is reasonable in light of the circumstances.

8.5.6. No cancellation fee will be charged where the cancellation results from circumstances for which the organiser is not responsible, including unavoidable extraordinary circumstances or force majeure, to the extent required by law.

8.5.7. Repeated late cancellations or no-shows may result in restrictions or a temporary suspension of the organiser's ability to create further MEETs.

8.5.8. Where participants are entitled to a refund as a result of a cancellation attributable to the organiser and myCULTURE processes that refund, myCULTURE may recover the corresponding amount from the organiser or set it off against amounts otherwise payable to the organiser, to the extent permitted by law.

8.5.9. If an organiser deletes their User Account while an upcoming MEET created by them has already been booked by one or more participants, the deletion of the User Account does not release the organiser from their obligations relating to that MEET. myCULTURE may treat the MEET as cancelled by the organiser and apply the cancellation provisions set out in this Section 8. The organiser remains responsible for any cancellation fee, refund amount or other payment obligation that is legally permissible and applicable to the MEET.

8.6. Cancellation by myCULTURE

8.6.1. myCULTURE may cancel or remove a MEET for legal, safety-related, technical or organisational reasons.

8.6.2. Where participants are legally entitled to a refund, the refund will be processed in accordance with applicable law or the conditions communicated during booking.

8.6.3. Where myCULTURE cancels a MEET for reasons attributable to myCULTURE, any refunds or other remedies shall be determined in accordance with applicable law and the conditions communicated to participants at the time of booking.

8.7. Organiser Responsibility

8.7.1. The organiser is responsible for properly conducting their MEET.

8.7.2. The organiser must ensure that they hold all required rights, permits, insurance coverage and other prerequisites.

8.7.3. Organisers may not offer dangerous, illegal or misleading MEETs.

9. Professional Users and Approval

9.1. Certain myCULTURE functions and services are available only to Professional Users.

9.2. Artists and curators may apply for admission to myCULTURE's professional area.

9.3. Admission is not automatic. myCULTURE may review applications based on qualitative, editorial, professional and organisational criteria.

9.4. myCULTURE may reject an application without providing a detailed reason, to the extent permitted by law. Rejection does not create a right to admission.

9.5. Artists and curators purchasing professional services from myCULTURE confirm that they purchase those services exclusively in the course of their professional activity and not as consumers.

9.6. myCULTURE may request suitable evidence of professional activity.

10. Artist Profiles

10.1. Approved artists and curators may create a free profile.

10.2. myCULTURE may technically structure, format or otherwise adapt profile content.

10.3. A profile does not create a right to any particular placement, reach, number of views, contacts, sales, exhibitions or other results.

11. Event Promotion

11.1. Professional Users may purchase paid Event Promotion for individual events or other eligible content.

11.2. The applicable price is displayed before purchase.

11.3. Promotion is available only for the cities, categories, periods and placement types offered by myCULTURE.

11.4. myCULTURE determines whether a Promotion is published based on its editorial, qualitative, technical and legal criteria.

11.5. myCULTURE may reject or subsequently remove a Promotion if its content violates these Terms, applicable law or platform or quality requirements, or if a legitimate reason against publication subsequently arises.

11.6. A Promotion does not guarantee any particular number of views, interactions, participants, sales, contacts or other results.

11.7. A paid Promotion may provide preferential placement compared with content that has not been paid to receive special visibility. Organic recommendation and ranking remain generally separate from this.

11.8. Mandatory statutory refund rights remain unaffected. Otherwise, refunds are governed by the relevant offer and the extent to which the service has been provided.

12. Artist Membership

12.1. An Artist Membership may only be purchased by approved professional artists.

12.2. The Membership is concluded for a fixed term of 12 months.

12.3. Where offered, the Membership may be paid either in full for 12 months in advance or in monthly advance instalments.

12.4. Monthly payment does not mean that the Membership can be cancelled monthly. The contractual minimum term remains 12 months.

12.5. After the initial term, the Membership automatically renews for another 12 months unless cancelled at least one month before expiry of the applicable term.

12.6. Cancellation may be made through the designated account area or by email to myCULTURE.

12.7. Early cancellation generally does not release the member from payment obligations for the agreed minimum term.

12.8. No pro-rata refund will generally be made for unused periods, subject to mandatory law.

12.9. myCULTURE may send a reminder before the end of the relevant term. Such a reminder is not a condition for the effectiveness of automatic renewal.

13. Partnerships with Museums, Galleries and Cultural Organisations

13.1. Museums, galleries, off-spaces and other cultural organisations may enter into paid partnerships with myCULTURE.

13.2. Partnerships may have a term of 12 months.

13.3. Unless otherwise agreed in the individual offer, a partnership automatically renews for another 12-month term unless cancelled at least one month before expiry.

13.4. Where a specific renewal price was expressly agreed when the offer was concluded, that price applies to the relevant renewal. Otherwise, the regular price applicable to the relevant service at the time of renewal applies.

13.5. Annual partnership fees are generally payable in advance.

13.6. Upon renewal, the invoice for the new contractual period will generally be issued at the beginning of that period and is immediately due, unless otherwise stated on the invoice.

13.7. The customer will automatically be in default upon expiry of the payment deadline without a separate reminder being required, to the extent permitted by law.

13.8. Statutory default interest and reasonable reminder and collection costs may be charged in the event of default.

13.9. myCULTURE may temporarily suspend paid services until outstanding amounts have been paid in full.

14. Prices and Payments

14.1. Applicable prices are displayed before a paid contract is concluded.

14.2. Prices for professional services are generally stated as net prices plus applicable VAT, unless expressly stated otherwise.

14.3. Payments may be processed through payment service providers used by myCULTURE, including Stripe.

14.4. Users must keep all payment information accurate and up to date.

14.5. If a payment fails, myCULTURE may restrict or suspend the relevant service until successful payment.

14.6. Consumers are subject only to legally permissible consequences and costs of late payment.

15. Referral and Points Systems

15.1. myCULTURE may operate referral programmes under which users receive points or other digital benefits.

15.2. Points may be awarded, for example, for successful referrals of new users, reviews, participation in MEETs or other activities defined by myCULTURE.

15.3. Points have no monetary value and do not constitute credit, electronic money or an entitlement to payment in cash.

15.4. The award of points does not create any right for myCULTURE to offer any particular redemption option, reward or other benefit.

15.5. myCULTURE may introduce redemption options in the future and may define, amend or discontinue them, provided that mandatory rights already acquired are not infringed.

15.6. Points may not be sold, transferred, duplicated or generated through abusive accounts or activities.

15.7. myCULTURE may cancel points obtained through abuse.

16. Intellectual Property and Content Licence

16.1. Users retain ownership of their rights in their Content.

16.2. By providing Content, users grant myCULTURE a non-exclusive, worldwide, royalty-free licence to the extent necessary to provide, technically process, display, promote and develop myCULTURE.

16.3. This licence includes, in particular, the right to store, reproduce, technically modify, format, make available and display Content within the platform.

16.4. For Professional Users, the licence additionally includes the use of profile, event and other submitted Content to promote the relevant user or offer and myCULTURE, including on the website, in the app, newsletters and social-media channels operated by myCULTURE.

16.5. myCULTURE may adapt Content for technical, editorial or design purposes without unlawfully changing its essential meaning.

16.6. The licence generally ends when the relevant Content or User Account is removed, except where continued use is required by law, technical archiving, already-published marketing materials or other legitimate purposes.

17. Marketing and Communications

17.1. myCULTURE may contact users regarding transactions, bookings, account security, platform changes, purchased services and other service-related matters.

17.2. Marketing communications will only be sent where permitted by applicable law.

17.3. Users may unsubscribe from newsletters and other permitted direct marketing through the available unsubscribe mechanism.

17.4. Details of the processing of personal data are set out in myCULTURE's applicable Privacy Policy.

18. Commercial Communications and Promotions

18.1. Professional Users may publish through myCULTURE only content that complies with applicable law.

18.2. Users must identify commercial content and offers as required by applicable law.

18.3. myCULTURE may offer paid placements, special visibility and other commercial services.

18.4. Payment for a Promotion does not guarantee any particular reach or economic result.

19. Suspension and Termination

19.1. Users may generally terminate their free User Account at any time.

19.2. myCULTURE may temporarily suspend or permanently terminate a User Account or individual functions where there is a legitimate or legal reason.

19.3. Such reasons may include:

  • serious or repeated violations of these Terms;

  • illegal Content;

  • infringement of third-party rights;

  • fraud or deception;

  • abuse of Promotions or referral programmes;

  • false information in professional profiles;

  • outstanding payments;

  • endangerment of other users; or

  • circumvention of a suspension.

 

19.4. Where reasonable and possible, myCULTURE will notify the user before suspension and provide an opportunity to remedy the violation.

19.5. In urgent cases, including risks to persons, legal violations or serious abuse, myCULTURE may suspend an account immediately.

19.6. Users may challenge certain moderation or suspension decisions through myCULTURE's internal complaint procedure.

19.7. Termination or deletion of a User Account does not affect payment obligations or other obligations that have already arisen. In particular, deletion or termination by a MEET organiser does not cancel the organiser's obligations relating to an upcoming MEET that has already been booked by participants. The consequences applicable to such a MEET are governed by Section 8.

20. Internal Complaints and Moderation Decisions

20.1. Users may submit complaints concerning decisions by myCULTURE, including the removal or restriction of Content or accounts, through the complaint channels provided by myCULTURE.

20.2. Complaints should identify the contested decision and the reasons for the complaint as specifically as reasonably possible.

20.3. myCULTURE will review complaints in accordance with applicable law and the circumstances of the individual case.

 

20.4. Statutory rights to external dispute resolution, judicial proceedings or other legal remedies remain unaffected.

21. Availability and Technical Changes

21.1. myCULTURE endeavours to provide a reliable service but does not guarantee uninterrupted or error-free availability.

21.2. Temporary restrictions may occur due to maintenance, updates, security measures, technical failures or events beyond myCULTURE's reasonable control.

21.3. myCULTURE may develop, modify or discontinue functions provided that this does not unlawfully deprive a customer of an already-paid-for essential service.

22. Liability

22.1. myCULTURE is liable in accordance with applicable law.

22.2. In contracts with businesses, myCULTURE's liability is, to the extent legally permissible, limited to intent and gross negligence. This does not apply to personal injury or other cases of mandatory statutory liability.

22.3. In particular, myCULTURE is not liable for the economic success of profiles, Promotions, events or MEETs unless a mandatory statutory basis for liability exists.

22.4. To the extent permitted by law, myCULTURE is not responsible for the content, acts or omissions of other users, organisers or third parties.

22.5. All mandatory statutory liability rights of consumers remain unaffected.

23. Data Protection

23.1. Personal data is processed in accordance with applicable data-protection law.

23.2. Details regarding the processing of personal data, cookies, analytics and marketing measures and data-subject rights are set out in myCULTURE's applicable Privacy Policy.

23.3. The Privacy Policy is separate from these Terms, and acceptance of these Terms does not constitute consent to any processing of personal data.

24. Changes to these Terms

24.1. myCULTURE may amend these Terms where there is a legitimate reason, including changes in legislation, case law, technology, the platform or new or modified services.

24.2. Changes will be communicated to affected users in an appropriate manner.

24.3. Material changes to existing contractual obligations will not apply retroactively.

24.4. Where required by law, users will be given a reasonable opportunity to terminate the contract before the change takes effect.

24.5. Changes to these Terms do not affect services that have already been fully performed.

25. Consumer Rights

25.1. Consumers retain all mandatory statutory rights.

25.2. In particular, statutory withdrawal, warranty, damages and other consumer rights remain unaffected.

25.3. Where a statutory withdrawal right applies, myCULTURE will provide the information and means required by law.

25.4. Where a statutory withdrawal right does not apply because a statutory exception is applicable, this will be communicated to the consumer before the contract is concluded.

26. Governing Law and Jurisdiction

26.1. Contracts with businesses are governed by Austrian law, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

26.2. For contracts with consumers, Austrian law applies only to the extent that it does not deprive consumers of mandatory protection under the law of the country in which they have their habitual residence.

26.3. For contracts with businesses, the competent courts in Vienna shall have exclusive jurisdiction to the extent permitted by law.

26.4. Statutory jurisdictions apply to consumers.

27. Severability

27.1. If any provision of these Terms is wholly or partially invalid or unenforceable, the remaining provisions remain unaffected.

27.2. The invalid provision shall be replaced, to the extent legally permissible, by the legally valid provision that most closely reflects its economic purpose.

28. Language

28.1. These Terms are available in German and English.

28.2. In the event of discrepancies between the German and English versions, the German version shall prevail to the extent permitted by law.
